Telemar
Tele Norte Leste Participações S.A. is the company which has shareholding control of Telemar. Telemar works with Fixed Telephony Fixa, Cell Phone Telefony (Oi).
Telemar since March 2007 commercializes all of its services with Oi's brands. Fixed telephony service is being commercialized with OI Fixed.

Telemar (Oi) restructure
Telemar published on April 17th 2006 the proposal of joint venture reorganization with sale, through public offer, shares of Telemar controllers.
This proposal was denied by shareholders with preferential shares.
Telemar published on 04/ 11/07 to the market that would discuss doing a volunteer public offer to the acquisition of total preferential shares of Tele Norte Leste Participações for R$ 35,09 per share, calculado com base no acréscimo de um prémio de 25% sobre a média das cotações no último mês. A oferta estaria condicionada à aquisição de pelo menos 2/3 das ações. Oferta pública semelhante seria feita em relação às ações preferenciais da Telemar Norte Leste com o preço de compra de R$ 52,39 por ação preferencial condicionado à compra de mais de 1/3 e menos de 2/3 das ações.
O Edital de Oferta Pública Voluntária (OPA) foi publicado em 19/06/2007.
Prazo da Oferta: 20/06 a 24/07/2007.

* Em 24/07 a Oi (Telemar) comprou 10 milhões de ações preferenciais da Telemar NorTe Leste o que corresponde a 25,75% das ações preferenciais Classe A (TMAR5) em circulação no mercado. A baixa adesão ocorreu mesmo com a Oi tendo aumentado o preço na hora do leilão para R$ 67,50.
**O leilão das ações da holding TNL foi adiado para 14 de agosto. Em 01/08 o preço foi aumentado para R$ 45,00 por ação. Em 13/08 a Telemar adiou novamente o leilão, desta vez para 06/09/07.
Em 31/08/07 o leilão foi novamente adiado. Desta vez para 25/09/07.
