Vivo buys Amazônia and Telemig Celular

In 08/03/07, Telemig Celular Participações and Tele Norte Celular (Amazônia Celular controller), announced to the market the share's sale of its controller (Telpart) to Vivo.

Vivo paid R$ 1,093 million for Telpart's participation in Telemig and R$ 120 million for Telepart's participation in Amazônia Celular.

Anatel approved in 10/23/07 tha acquisition of Telemig Celular by Vivo. The acquisition of Amazônia Celular will be analysed by Anatel.

Anatel, through Act 67,989 from 10/19/07, postponed to 15 years SMP authorization of Telemig Celular which would win in 04/23/2008.

Important Facts

August 2003	MOU to the acquisition of CTBC Celular by Telemig Celular.
December 2003	Solicitation to change to SMP.
February 2004	Change defined to GSM.
September 2004	Telemig Celular acquired in 09/21/2004 license to Band E in the region correspodent to the area attended by Triângulo Celular in Minas Gerais, attending the whole State.
March 2005	Opportunity announced process covering to the sale of these cellular operators. (Consult: Teleco's commentary). The sale was suspended by Legal decision.

Previ's participation in the block control

24/09/04 Anatel evidenced that Previ withheld more than 20% of stockhoding participation on Oi (Telemar) and Telemig Celular that it isn't allowed by the regulation. The legal petition suspended the control that Previ has on the two operators, establishing a period of 18 months so it reduces its stockhoding participation to less than 20% in one of the two operators.

10/01/04 After Previ's manifestation that opted to reduce its stockhoding of Oi (Telemar), Anatel suspended Previ's relative interdictions and its participation in the control of the Amazônia and Celular Telemig.
